5. Payment Terms

All projects require:
• 50% advance payment before project initiation
• 50% remaining payment upon project completion or before final delivery

For monthly services, payment must be made at the start of each billing cycle.

Failure to pay may result in:
• Suspension of services
• Withholding of files or deliverables
• Legal recovery actions (if applicable)

All payments must be made through approved channels communicated by GDMS.

6. Refund & Cancellation Policy

GDMS offers refunds only when results are not shown, subject to the following conditions:

Refund Approval Requirements:

• The client must provide clear evidence that agreed KPIs, milestones, or performance indicators were not met.
  • Refund requests must be submitted within 10 days of project completion or monthly cycle end.
  • GDMS will review the request and determine eligibility based on data, performance reports, and contract terms.

Non-Refundable Situations:

• Delays caused by the client (no content, no access, late responses)
  • Completed design or development work already delivered
  • SEO results affected by algorithm changes or competitor activity
  • Services paused or cancelled by client without a valid reason
  • When performance was delivered as agreed

If a refund is approved, GDMS may deduct charges for completed work.

7. Project Timelines & Client Responsibilities

The GDMS project process requires collaboration from clients. Timelines depend on:

• Client feedback and approvals
  • Timely submission of required information
  • Access to tools, hosting, or platforms
  • Scope of work and revision cycles

Delays caused by the client may extend project delivery. GDMS will not be held responsible for missed deadlines due to lack of cooperation or late responses.

8. Revisions and Deliverables

The number of revisions is defined in the service package or contract. Excessive revisions, scope changes, or new requests may lead to additional charges.

All final deliverables will be provided after full payment is received.

9. Intellectual Property Rights

• All materials created by GDMS (designs, content, SEO strategies, development work) remain the property of GDMS until full payment is completed.
  • After payment, ownership is transferred to the client unless otherwise stated.
  • GDMS may use completed projects for portfolio, case studies, and marketing unless the client requests removal.

10. Prohibited Activities

Clients may not:
• Copy, modify, or distribute GDMS website content without permission
• Misuse our services for illegal or harmful purposes
• Reverse-engineer or attempt unauthorized access to our systems
• Use GDMS deliverables for unethical, fraudulent, or harmful activities

Violations may lead to immediate service termination.

11. Limitation of Liability

GDMS shall not be held responsible for:
• Loss of revenue, profits, or opportunities
• Performance drops caused by external factors (algorithm changes, server issues, hosting problems, competitor activity)
• Damages resulting from client misuse or unauthorized third-party modifications

GDMS provides services on a best-effort basis and does not guarantee specific rankings or outcomes unless stated in writing.

12. Service Termination

GDMS reserves the right to suspend or terminate services if:
• Payments are not made on time
• The client violates our policies
• The client engages in unethical or abusive behavior
• Services become impossible to deliver due to lack of access or cooperation

All outstanding payments remain due even after termination.

13. Jurisdiction & Governing Law

These Terms & Conditions are governed by the laws of:
• The United States (for USA clients)
• Pakistan (for Pakistani clients)

Disputes will be handled under the respective legal jurisdictions depending on the client’s location.
